Item 8.01 Other Events.
Separate Trading of Units, Class A Common Stock and Warrants
On February 8, 2021, Atlas Crest Investment Corp. II (the “Company”) consummated its initial public offering (the “IPO”) of 34,500,000 (the “Units”), including 4,500,000 Units issued pursuant to the exercise of the underwriters’ over-allotment option in full. Each Unit consists of one share of Class A common stock of the Company, par value $0.0001 per share (“Class A Common Stock”), and one-quarter of one redeemable warrant of the Company (the “Warrants”), with each whole Warrant entitling the holder thereof to purchase one share of Class A Common Stock for $11.50 per share. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $345,000,000.
On March 26, 2021, the Company issued a press release, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K, announcing that the holders of the Units may elect to separately trade the Class A Common Stock and Warrants comprising the Units commencing on March 29, 2021. Those Units not separated will continue to trade on the New York Stock Exchange under the symbol “ACII.U,” and the Class A Common Stock and Warrants that are separated will trade on the New York Stock Exchange under the symbols “ACII” and “ACII WS,” respectively. No fractional warrants will be issued upon separation of the units and only whole warrants will trade. Holders of the Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the Units into Class A Common Stock and Warrants.

Atlas Crest Investment Corp. II Announces the Separate Trading of its Class A Common Stock and Warrants, Commencing March 29, 2021
New York, NY, March 26, 2021 -- Atlas Crest Investment Corp. II (NYSE: ACII.U, the "Company") announced today that, commencing on March 29, 2021, holders of the units sold in the Company’s initial public offering may elect to separately trade shares of the Company’s Class A common stock and warrants included in the units. No fractional warrants will be issued upon separation of the units and only whole warrants will trade. The shares of Class A common stock and warrants that are separated will trade on the New York Stock Exchange under the symbols "ACII" and "ACII WS," respectively. Those units not separated will continue to trade on the New York Stock Exchange under the symbol “ACII.U”. Holders of units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the units into shares of Class A Common Stock and warrants.
The units were initially offered by the Company in an underwritten offering. Cantor Fitzgerald & Co. acted as the sole book-running manager of the offering.
