Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 18, 2023, Cyber Enviro-Tech, Inc. (the “Company”) was informed by Mark Broughton that he will resign from his position as a Director and any Officer positions effective December 18, 2023.

Mr. Broughton’s resignation was not because of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including accounting principles and practices.

Item 7.01 Regulation FD Disclosure.

On December 22, 2023, the Company issued a press release announcing the resignation of Mr. Broughton, a copy of which is furnished with this Current Report on Form 8-K as Exhibit 99.1.

SCOTTSDALE, AZ, Dec. 22, 2023 /PRNewswire/ -- Cyber Enviro-Tech, Inc. (OTC Pink: CETI) today announced that Markham Broughton, a Director of the Company, resigned from his position as Director effective December 18, 2023.

 

Kim D. Southworth co-founder and CEO of CETI acknowledged Mr. Broughton’s desire to continue to provide assistance to the Company stating, “While Mark has stepped down from his position on the Board to pursue other opportunities, he is still graciously offering his services as needed. As a shareholder, he’d like to see CETI continue to prosper.”
