Other Events.

On August 10, 2020, Clearwater Paper Corporation (the “Company”) issued a press release announcing the commencement of a private offering to eligible purchasers of $275 million aggregate principal amount of senior notes due 2028 (the “Notes”).

In accordance with Rule 135(c) of the Securities Act of 1933, as amended (the “Securities Act”), a copy of this press release is being filed as Exhibit 99.1 to this report. Accordingly, this report is not intended to and does not constitute an offer to sell nor a solicitation for an offer to purchase any securities of the Company. The Notes and the related guarantees have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and any applicable state securities laws.
