On October 31, 2022, the Board of Directors (the “Board”) of Quest Diagnostics Incorporated (the “Company”) increased the Board’s size from 9 to 10 directors and elected James E. Davis to fill the resulting vacancy effective November 1, 2022. Mr. Davis is not party to any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
On November 1, 2022, the Company issued a press release announcing that Mr. Davis became Chief Executive Officer and President of the Company, and Stephen H. Rusckowski remains Chairman of the Company, in each case effective November 1, 2022.
