Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointments of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 16, 2026, Lynne M. Neel, Senior Executive Vice President of Embassy Bancorp, Inc. and its wholly-owned banking subsidiary Embassy Bank for the Lehigh Valley (the “Bank” and collectively the “Company”), informed the Company that she intends to retire effective April 2, 2027. Ms. Neel began her banking career in 1984 and joined the Bank at its inception in November 2001, overseeing the growth of the Bank’s total assets to over $1.8 billion in her current position leading loan operations, deposit operations, electronic banking, and investor relations. Ms. Neel’s determination to retire is not related to any disagreement on any matter related to the Company’s operations, policies or practices.
