Item 8.01 Other Information

 

On June 21, 2022, FG Financial Group, Inc. (the “Company”) issued a press release announcing the closing of its previously announced underwritten public offering (the “Offering”) of 2,750,000 shares of its common stock at a public offering price of $1.58 per share, less underwriting discounts and commissions. The Company granted the representative of the underwriters a 45-day option to purchase up to 412,500 additional shares of common stock at the public offering price, less underwriting discounts and commissions, to cover over-allotments, if any.

 

The net proceeds to the Company from the Offering were approximately $3.8 million, after deducting underwriting discounts and commissions and other estimated offering expenses. The Company intends to use the net proceeds from this offering for working capital and other general corporate purposes.

ST. PETERSBURG, FL – FG Financial Group, Inc. (Nasdaq:FGF) (the “Company”), a reinsurance and investment management holding company focused on opportunistic collateralized and loss capped reinsurance, while allocating capital in partnership with Fundamental Global® and, from time to time, other strategic investors, to SPAC and SPAC sponsor-related businesses, today announced the closing of its previously announced underwritten public offering of 2,750,000 shares of its common stock, at a public offering price of $1.58 per share, for gross proceeds of $4.345 million, before deducting underwriting commissions and offering expenses.

 

The underwriters have been granted a 45-day option to purchase up to 412,500 additional shares of common stock from the Company, exercisable in whole or in part, solely to cover over-allotments, at the public offering price less the underwriting commissions.

 

ThinkEquity acted as sole book-running manager for the offering.
