Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 21, 2023, the Board elected Nikos Theodosopoulos as an independent director of the Company. There are no arrangements or understandings between Mr. Theodosopoulos and any other persons pursuant to which Mr. Theodosopoulos was elected as a director of the Company. Mr. Theodosopoulos will be entitled to the applicable annual retainer and restricted stock awards pursuant to the Company’s director compensation arrangements, under terms consistent with those previously disclosed by the Company. Mr. Theodosopoulos will also be entitled to enter into an indemnification agreement with the Company. Mr. Theodosopoulos will hold office as a Class II director for a term expiring in 2024 and will serve on the Company’s Audit Committee.

Since August 2012, Mr. Theodosopoulos has served as an independent director, advisor, consultant, and angel investor in the technology industry. From August 1995 through July 2012, Mr. Theodosopoulos served in various capacities with UBS, a provider of financial services, most recently as managing director of technology equity research. From April 1994 to August 1995, he served as senior equity research analyst for Bear, Stearns & Co. Inc., an investment banking firm that was acquired in 2008 by JPMorgan Chase. From September 1985 to April 1994, Mr. Theodosopoulos served in various capacities at AT&T Bell Laboratories and AT&T Network Systems, a provider of communications equipment. Mr. Theodosopoulos also serves on the board of directors of Adtran Holdings, Inc., a leading global provider of networking and communications equipment. Mr. Theodosopoulos holds a B.S. degree in Electrical Engineering from Columbia University, an M.S. degree in Electrical Engineering from Stanford University and an M.B.A. from NYU Stern School of Business.

Hercules Capital Announces the Appointment of Mr. Nikos Theodosopoulos to Its Board of Directors

PALO ALTO, Calif., September 25, 2023Hercules Capital, Inc. (NYSE: HTGC) (“Hercules” or the “Company”), the largest and leading specialty financing provider to innovative venture, growth and established stage companies backed by some of the leading and top-tier venture capital and select private equity firms, today announced that Nikos Theodosopoulos was appointed to serve as an independent member of its board of directors, effective September 21, 2023. Mr. Theodosopoulos is an experienced corporate executive and board director with more than 38 years in senior management roles in both the financial services and technology industries.

Mr. Theodosopoulos will serve on the Company’s Audit Committee.

Since August 2012, Mr. Theodosopoulos has served as an independent director, advisor, consultant, and angel investor in the technology industry. From August 1995 through July 2012, Mr. Theodosopoulos served in various capacities with UBS, a provider of financial services, most recently as managing director of technology equity research. From April 1994 to August 1995, he served as senior equity research analyst for Bear, Stearns & Co. Inc., an investment banking firm that was acquired in 2008 by JPMorgan Chase. From September 1985 to April 1994, Mr. Theodosopoulos served in various capacities at AT&T Bell Laboratories and AT&T Network Systems, a provider of communications equipment. Mr. Theodosopoulos also serves on the board of directors of Adtran Holdings, Inc., a leading global provider of networking and communications equipment.

Mr. Theodosopoulos holds a Bachelor of Science degree in Electrical Engineering from Columbia University, a Master of Science degree in Electrical Engineering from Stanford University and a Master of Business Administration degree from NYU Stern School of Business.
