Other Items

On May 18, 2021, Lithia Motors, Inc. (the “Company”) issued a press release announcing that it has commenced an underwritten public offering of $1 billion of shares of its Class A common stock, no par value per share (the “Common Stock Offering”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On May 18, 2021, the Company issued a press release announcing that it has commenced a private offering (the “Notes Offering”) of $500 million aggregate principal amount of senior notes due 2029. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

Medford, Oregon, May 18, 2021 - Lithia Motors & Driveway (NYSE: LAD) today announced that we intend to offer, subject to market and other conditions, $1 billion of shares of our Class A common stock (the “common stock”) in a public offering (the “Offering”). In addition, we intend to grant the underwriters a 30-day option to purchase up to an additional $150 million of shares of common stock. Lithia intends to use the net proceeds of the Offering for general corporate purposes, which may include financing possible acquisitions, repaying or refinancing debt, working capital and capital expenditures.

In addition, today we concurrently announced our intention to offer $500 million aggregate principal amount of senior notes due 2029 (the “Notes”) in a private offering. This press release is neither an offer to sell nor a solicitation of an offer to buy the Notes.

J.P. Morgan and Goldman Sachs & Co. LLC are acting as joint book-running managers for the Offering. Medford, Oregon, May 18, 2021 - Lithia Motors & Driveway (NYSE: LAD) today announced that we intend to offer, subject to market and other conditions, $500 million in aggregate principal amount of senior notes due 2029 (the “Notes”) in a private offering (the “Private Offering”) that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). Lithia intends to use the net proceeds of the Private Offering for general corporate purposes, which may include financing possible acquisitions, repaying or refinancing debt, working capital and capital expenditures.

In addition, today we concurrently announced our intention to offer $1 billion of shares of our Class A common stock (the “common stock”) in a registered public offering ($1.150 billion of shares if the underwriters in the common stock offering exercise in full their option to purchase additional shares).
