Item 7.01. Regulation FD Disclosure.
On June 12, 2025, Norfolk Southern Corporation (the “Company”) issued a press release, attached hereto as Exhibit 99.1, announcing that its Board had elected Richard H. Anderson, a current independent director of the Board, to succeed Claude Mongeau as Chair of the Board, effective immediately. As previously reported, Mr. Mongeau resigned from the Board on June 2, 2025 for personal reasons. Additionally, the Board decreased its size from 13 to 12 directors to reflect Mr. Mongeau’s resignation.
