Item 8.01. Other Events.
On February 23, 2021, Ivanhoe Capital Acquisition Corp. (the “Company”) issued a press release, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K, announcing that the holders of the Company’s units (the “Units”) may elect to separately trade the Class A ordinary shares, par value $0.0001 per share (the “Class A Ordinary Shares”), and warrants (the “Warrants”) included in the Units commencing on or about March 1, 2021. Each Unit consists of one Class A Ordinary Share and one-third of one redeemable Warrant to purchase one Class A Ordinary Share. Any Units not separated will continue to trade on the New York Stock Exchange (“NYSE”) under the symbol “IVAN.U”, and the Class A Ordinary Shares and Warrants will separately trade on NYSE under the symbols “IVAN” and “IVAN WS”, respectively. No fractional Warrants will be issued upon separation of the Units and only whole Warrants will trade. Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the Units into Class A Ordinary Shares and Warrants.

Ivanhoe Capital Acquisition Corp. Announces the Separate Trading of its Ordinary Shares and Warrants, Commencing March 1, 2021
Singapore – February 23, 2021 – Ivanhoe Capital Acquisition Corp. (NYSE: IVAN.U) (the “Company”) today announced that, commencing March 1, 2021, holders of the units sold in the Company’s initial public offering may elect to separately trade shares of the Company’s ordinary shares and warrants included in the units.
No fractional warrants will be issued upon separation of the units and only whole warrants will trade. The ordinary shares and warrants that are separated will trade on the New York Stock Exchange under the symbols “IVAN” and “IVAN WS”, respectively. Those units not separated will continue to trade on the New York Stock Exchange under the symbol “IVAN.U”. Holders of units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the units into ordinary shares and warrants.
Ivanhoe Capital Acquisition Corp. is a blank-check company formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The Company intends to seek a target in industries related to the paradigm shift away from fossil fuels towards the electrification of industry and society.
