Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 1, 2022, Verisk Analytics, Inc. (the “Company”) announced that Mark V. Anquillare will step down as President and Chief Operating Officer of the Company effective as of January 15, 2023. Lee M. Shavel, the Company’s current Chief Executive Officer, will assume the role of President, and will serve concurrent roles as President and CEO. Currently, the Company does not have plans to hire a new Chief Operating Officer. The Company currently anticipates that, at a later date, it will enter into a separation agreement with Mr. Anquillare reflecting the terms of his departure.

A copy of the press release announcing the departure of Mr. Anquillare is annexed as Exhibit 99.1. All information in the press release is furnished but not filed.
