Item 2.02Results of Operations and Financial Condition

On July 14, 2021, Winmark Corporation (the “Company”) announced in a press release its results of operations and financial condition for the second quarter ended June 26, 2021. A copy of the press release is attached as Exhibit 99.1 of this Current Report on Form 8-K.

Item 7.01Regulation FD Disclosure

On July 14, 2021, the Company announced in a press release its results of operations and financial condition for the second quarter ended June 26, 2021. A copy of the press release is attached as Exhibit 99.1 of this Current Report on Form 8-K.

On July 14, 2021, the Company also announced in a press release that its Board of Directors has approved the payment of a cash dividend to its shareholders.  The quarterly dividend of $0.45 per share will be paid on September 1, 2021 to shareholders of record on the close of business on August 11, 2021. Future dividends will be subject to Board approval.  The press release also announced that the Board of Directors has approved a 400,000 share increase to its existing share repurchase authorization.  The new authorization is equal to approximately 11% of the Company’s currently outstanding shares.  The authorization does not constitute a commitment to repurchase shares, and any repurchases will be made in accordance with applicable securities laws.  A copy of the press release is attached as Exhibit 99.2 of this Current Report on Form 8-K.

SECOND QUARTER RESULTS

Minneapolis, MN (July 14, 2021)  -  Winmark Corporation (Nasdaq: WINA) announced today net income for the quarter ended June 26, 2021 of $8,937,300 or $2.33 per share diluted compared to net income of $5,055,200 or $1.33 per share diluted in 2020.  For the six months ended June 26, 2021, net income was $18,248,400 or $4.74 per share diluted compared to net income of $12,372,200 or $3.21 per share diluted for the same period last year.

Winmark, the Resale CompanyTM, is a nationally recognized franchising business focused on sustainability and small business formation.  We champion and guide entrepreneurs interested in operating one of our award winning resale franchises: Plato’s Closet®, Once Upon A Child®, Play It Again Sports®, Style Encore® and Music Go Round®.  At June 26, 2021, there were 1,266 franchises in operation and over 2,000 available territories.  An additional 36 franchises have been awarded but are not open.

AND INCREASE IN SHARE REPURCHASE AUTHORIZATION

Minneapolis, MN (July 14, 2021)  -  Winmark Corporation (Nasdaq: WINA) announced today that its Board of Directors has approved the payment of a quarterly cash dividend to shareholders.  The quarterly dividend of $0.45 per share will be paid September 1, 2021 to shareholders of record on the close of business on August 11, 2021.  Future dividends will be subject to Board approval.

Winmark also announced today that its Board of Directors has approved a 400,000 share increase to its existing share repurchase authorization.  This increase represents approximately 11% of Winmark’s current shares outstanding.

The authorization does not constitute a commitment to repurchase shares.  Winmark may conduct the repurchases through open market purchases, block trades, negotiated transactions, or any other manner that complies with the provisions of the Securities and Exchange Act of 1934, as amended.  There is no end date to the share repurchase program.
