Item 8.01 Other Events

On December 1, 2020, NextEra Energy Partners, LP (NEP) issued a press release announcing the pricing of $600 million in aggregate principal amount of its 0% convertible senior notes due 2025 in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99 and incorporated herein by reference.

Also on December 1, 2020, a subsidiary of NEP gave irrevocable notice to call for redemption on December 31, 2020, $500 million in aggregate principal amount of its outstanding 4.25% senior unsecured notes due 2024 that were issued in September 2017.
