Section 1 – Registrant's Business and Operations

Item 1.02.  Termination of a Material Definitive Agreement

(a) On February 2, 2021, Image Sensing Systems, Inc. (the "Company") was notified by BMO Harris Bank, N.A. (the "Lender"), which is the lender of the Company's Paycheck Protection Program loan (the "PPP Loan"), as described below, that the Lender had received payment in full of the PPP Loan from the United States government, and the Company's PPP Loan had been forgiven.

On April 21, 2020, the Company received the PPP Loan in the original principal amount of $923,700 under the Paycheck Protection Program ("PPP") established under the Coronavirus Aid, Relief and Economic Security Act (the "CARES Act").  The PPP is administered by the United States Small Business Administration (the "SBA").  Under the terms of the CARES Act, PPP loan recipients can apply for, and the SBA can grant forgiveness of, all or a portion of loans made under the PPP if the recipients use the PPP loan proceeds for eligible purposes, including payroll costs, mortgage interest, rent or utility costs and meet other requirements regarding, among other things, the maintenance of employment and compensation levels.  The Company used the PPP Loan proceeds for qualifying expenses and applied for forgiveness of the PPP Loan in accordance with the terms of the CARES Act.

The disclosure in Item 1.01 of the Company's Current Report on Form 8-K dated April 21, 2020 is incorporated into this Item 1.02 by reference.
