Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective December 31, 2021, Dr. Jennifer Buell resigned as Agenus Inc.’s (the “Company”) President and Chief Operating Officer to become the President and Chief Executive Officer of MiNK Therapeutics, Inc. (“MiNK”), a subsidiary of the Company. In addition to her role at MiNK, Dr. Buell will serve on Agenus’ Executive Council, an advisory body formed to accelerate programs and optimize the pipeline synergy across the Company and its subsidiary companies.
