Item 8.01 Other Events.

On December 12, 2022, our board of directors, or our Board, authorized a distribution to our Class T and Class I stockholders of record as of the close of business on December 29, 2022, for the quarter commencing on October 1, 2022 and ending on December 31, 2022. The quarterly distribution will be equal to $0.40 per share of our common stock, which is equal to an annualized distribution rate of $1.60 per share. As we previously reported in our Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on November 16, 2022, our Board approved the suspension of our distribution reinvestment plan beginning with distributions declared, if any, for the quarter ending December 31, 2022. As a result of the suspension, the fourth quarter distribution will be paid in cash on or about January 10, 2023, only from legally available funds.
