On April 14, 2025, Amplify Energy Corp., a Delaware corporation (the “Company”), convened its Special Meeting of Stockholders (the “Special Meeting”). The Company adjourned the Special Meeting without the transaction of any business. The Special Meeting will be reconvened on Wednesday, April 23, 2025, at 9:00 a.m. Central Time, and will continue to be held virtually via the internet at www.cesonlineservices.com/ampysm_vm.

Amplify Announces Intention to Adjourn SpecialMeeting of Stockholders
Meeting adjourned to April 23, 2025 at9:00 a.m. Central Time
HOUSTON, April 14, 2025 – Amplify Energy Corp. (NYSE: AMPY) (“Amplify” or the “Company”) today announced that it intends to open and immediately adjourn its Special Meeting of Stockholders (the “Special Meeting”) relating to the Company’s proposed merger with Juniper Capital’s upstream Rocky Mountain portfolio companies. There will be no voting or other matters conducted at the meeting on April 14, 2025, and the Company intends to reconvene the Special Meeting on April 23, 2025 at 9:00 a.m. Central Time (and the adjourned meeting will be held virtually via the internet at www.cesonlineservices.com/ampysm_vm). The record date for the Special Meeting, March 3, 2025, is unchanged and applies to the reconvened Special Meeting.
The Special Meeting will be adjourned to allow for further time to solicit proxies from the Company’s stockholders and provide stockholders with additional time to vote in order to facilitate broader participation. Stockholders who have already cast their votes do not need to take any action, unless they wish to change or revoke their prior proxy or voting instructions, and their votes will be counted at the reconvened Special Meeting. For stockholders who have not yet cast their votes, we urge them to vote their shares now, so they can be tabulated prior to the reconvened Special Meeting.
