CHARLES TOWN, W.Va., Nov. 7, 2023 /PRNewswire/ -- American Public Education, Inc. (Nasdaq: APEI) announced financial results for the quarter ended September 30, 2023.
Third Quarter Highlights:
| · | American<br> Public University System ("APUS"), Hondros College of Nursing ("HCN"),<br> and Graduate School ("GSUSA") all produced year-over-year registration or enrollment<br> growth. |

| · | Consolidated<br> revenue increased 0.9% year-over-year to $150.8 million. |
| · | Net<br> loss was $3.3 million, compared to net loss of $3.8 million in the prior year period. The<br> loss includes a $5.2 million non-cash investment loss on a 2012 APEI minority equity investment<br> in a company that has entered into an agreement to be sold resulting in no proceeds to APEI. |

“APEI’s third quarter adjusted EBITDA exceeded our expectations, thanks in part to our concentrated efforts on enhancing operational efficiency. Furthermore, overall performance this quarter was generally in line with our expectations, demonstrating our commitment to delivering more consistent results,” said Angela Selden, President and Chief Executive Officer of APEI.
“We are also pleased to see continued enthusiasm for our higher education offerings within military and veteran communities at APUS, as well as among aspiring nurses. As we work toward restoring growth and profitability at Rasmussen University, the opportunity is there for a promising and prosperous future,” added Selden.
Financial Results:
For the three months ended September 30,2023, as compared to the same period of 2022:
| · | Total consolidated revenue was $150.8 million, an increase of $1.3 million, or 0.9%, compared<br> to $149.5 million for the three months ended September 30, 2022. The increase was primarily<br> due to a $7.7 million, or 11.2%, increase in revenue in our APUS Segment, a $2.3 million,<br> or 20.4%, increase in revenue in our HCN Segment, and a $0.8 million, or 10.0%, increase<br> in GSUSA revenue included in Corporate and Other, partially offset by $9.5 million, or 15.4%,<br>decrease in revenue in our Rasmussen University (“RU”) Segment. The RU Segment revenue decrease was primarily due to a 10.0%<br>decrease in total student enrollment as compared to the prior year period, partially offset by increases in the tuition of certain programs<br>implemented in January 2023. The APUS Segment revenue increase was primarily due to a 7.6% increase in net course registrations and tuition<br>and fee increases implemented in April and July 2023, as compared to the prior year period. The HCN Segment revenue increase was primarily<br>due to a 17.0% increase in total student enrollment, as well as a 5% tuition increase implemented during the second quarter, compared<br>to the prior year period. |

| · | Total costs and expenses were $144.4 million, a decrease of $6.1 million, or 4.1%, compared<br> to $150.6 million for the three months ended September 30, 2022. The decrease in costs<br> and expenses was due primarily to decreases in advertising costs, depreciation and amortization<br> costs, and marketing support material costs, partially offset by increases in technology<br> costs, bad debt expense, and employee compensation costs in our APUS and HCN Segments due<br> to an increase in registrations at APUS and enrollments at HCN. Costs and expenses as a percentage<br> of revenue decreased to 95.8% from 100.7% for the three months ended September 30, 2022. |

| · | Selling and promotional expenses were $33.3 million, a decrease of $7.6 million, or 18.6%, compared<br> to $40.9 million for the three months ended September 30, 2022. The decrease in selling<br> and promotional expenses was primarily due to decreases in advertising costs in all our segments,<br> a decrease in marketing support materials costs in our APUS Segment and decreases in employee<br> compensation costs in our RU and HCN Segments and Corporate and Other. Selling and promotional<br> expenses as a percentage of revenue decreased to 22.1% from 27.4% for the three months ended<br> September 30, 2022. |
| · | General and administrative expenses were $30.9 million, an increase of $1.2 million, or 4.1%,<br> compared to $29.7 million for the three months ended September 30, 2022. The increase<br> in general and administrative expenses was primarily due to an increase in bad debt expense<br> in our APUS and HCN Segments, an increase in technology costs in our HCN and APUS Segments<br> and Corporate and Other, an increase in professional fees in Corporate and Other, partially<br> offset by decreases in employee compensation costs, primarily in our APUS Segment. Consolidated<br> bad debt expense was $4.5 million, or 3.0% of revenue, compared to $3.7 million, or 2.5%<br> of revenue in the prior year period. General and administrative expenses as a percentage<br> of revenue increased to 20.5% from 19.8% for the three months ended September 30, 2022.<br> As we continue to evaluate enhancements to our business capabilities, particularly in technology,<br> we expect to incur additional costs and that our general and administrative expenses will<br> vary from time to time. |

| · | Net interest expense was $0.8 million and $3.6 million for the three months ended September 30,<br> 2023 and 2022, respectively. The decrease in net interest expense was primarily due to the<br> decrease in the outstanding balance in our senior secured term loan facility and due to higher<br> yield on cash balances. In December 2022, we made $65.0 million in prepayments to reduce<br> our outstanding debt. |

| · | During<br> the three-month period ended September 30, 2023, $1.5 million of dividends were declared<br> and paid on our Series A Senior Preferred Stock. Balance Sheetand Liquidity:
| · | Total cash and cash equivalents were $155.2 million and $129.5 million at September 30,<br> 2023 and December 31, 2022, respectively, representing an increase of $25.7 million,<br> or 19.9%. The increase in cash was primarily due to payments received by APUS from the Army,<br> which totaled approximately $51.3 million during the nine months ended September 30,<br> 2023, of which approximately $18.1 million in payments related to periods prior to 2023,<br> and the timing of other receipts and payments. As of September 30, 2023, approximately $13.5<br> million, of which $5.0 million is older than 60 days from the course start date, was due<br> from the Army. |

Non-GAAP Financial Measures:
This press release contains the non-GAAP financial measures of EBITDA (earnings before interest, taxes, depreciation, and amortization) and adjusted EBITDA (EBITDA less non-cash expenses such as stock compensation and non-recurring expenses). APEI believes that the use of these measures is useful because they allow investors to better evaluate APEI's operating profit and cash generation capabilities.
For the three months ended September 30, 2023 and 2022, adjusted EBITDA excludes non-cash compensation expense, (gain) loss on disposals of long-lived assets, severance expense, and M&A-related professional fees.
