Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 26, 2021, Jai Agarwal, the Chief Financial Officer, Treasurer and Secretary of Apollo Commercial Real Estate Finance, Inc. (the “Company”) informed the Company of his intention to resign from the Company. The Company has initiated a search for a new Chief Financial Officer. Mr. Agarwal has agreed to assist the Company in the transition of his responsibilities to his replacement and though the effective date of his resignation has not yet been determined, he will remain as Chief Financial Officer, Treasurer and Secretary of the Company through the filing of the Company’s third quarter 2021 quarterly report on Form 10-Q. The decision of Mr. Agarwal to leave the Company was not the result of any dispute or disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
