On April 24, 2024, AZZ Inc. issued a press release announcing the public launch of a underwritten public offering of its common stock. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

AZZ Inc. Announces Proposed Public Offering of Common Stock

April 24, 2024 – FORT WORTH, TX - AZZ Inc. (NYSE: AZZ), the leading independent provider of hot-dip galvanizing and coil coating solutions, today announced that it is offering 4.0 million shares of its common stock in an underwritten public offering. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. In connection with the offering, AZZ intends to grant the underwriters of the offering an option for 30 days to purchase up to an additional 15% of the number of shares of its common stock sold in the offering. All of the shares in the offering are being offered by AZZ.

Evercore ISI and Jefferies are acting as joint lead book-running managers. Baird, Wells Fargo Securities and Wolfe | Nomura Alliance are acting as additional book-running managers. Roth Capital Partners is acting as co-manager for the offering.

AZZ intends to use the net proceeds for the redemption of all of the Company’s 6.0% Series A Convertible Preferred Stock.

This offering is being made pursuant to a shelf registration statement on Form S-3 (File No. 333-276450) filed with the Securities and Exchange Commission (SEC) and declared effective on January 10, 2024. The offering of the shares of common stock will be made by means of a prospectus, including a prospectus supplement, forming a part of the registration statement.
