Item 8.01 Other Events.
On December 17, 2021, the Board of Directors of BK Technologies Corporation (the “Company”) authorized a new share repurchase program for up to $5 million of its outstanding common stock. The purchases under the share repurchase program may be made in the open market or through privately negotiated transactions from time-to-time, and will be made in accordance with applicable laws, rules and regulations. The share repurchase program may be amended, suspended or discontinued at any time and does not commit the Company to repurchase shares of its common stock. The actual number and value of the shares to be purchased will depend on the performance of the Company’s stock price and other market and economic factors, including impacts caused by the COVID-19 pandemic.
A copy of the press release announcing the share repurchase program is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

BK Technologies Announces Share Repurchase Program
WEST MELBOURNE, FL December 21, 2021 / BK Technologies Corporation (NYSE American: BKTI) today announced that its Board of Directors has authorized a share repurchase program which permits the Company to purchase up to an aggregate of $5 million in common shares. Share repurchases under the new authorization may begin immediately and the program does not have an expiration date.
The shares will be repurchased with cash on hand and cash from operations. The actual timing, manner and number of shares repurchased under the program will be determined by management and the Board of Directors at their discretion, and will depend on several factors, including the market price of the Company’s common shares, general market and economic conditions, alternative investment opportunities, and other business considerations in accordance with applicable securities laws and exchange rules. The authorization does not require BK Technologies to acquire any particular number of shares and repurchases may be suspended or terminated at any time at the Company’s discretion.
John Suzuki, Chief Executive Officer of BK Technologies, commented, “Our primary focus is to allocate capital towards our growth strategy to capture market share in the first responder market.
