Results of Special General Meeting of Shareholders

On December 5, 2024, Brenmiller Energy Ltd. (the “Company”), convened its Special General Meeting of Shareholders (the “Meeting”). At the Meeting, a quorum was present and the shareholders of the Company voted upon and approved, by the applicable required majority, Proposal Nos. 1 through 6 and Proposal No. 8, as were proposed and described in the Company’s Notice and Proxy Statement for the Meeting dated October 31, 2024, which were included as Exhibits 99.1 and 99.2, respectively, to the Company’s Report of Foreign Private Issuer on Form 6-K that the Company furnished to the Securities and Exchange Commission on November 1, 2024. Following the approval of Proposal No. 6, Proposal No. 7 was not voted upon at the Meeting, as originally described in the Company’s Proxy Statement.
