The registrant’s 2023 annual meeting of shareholders (the “2023 Annual Meeting”) was held on April 28, 2023. There were issued and outstanding on March 3, 2023, the record date for the 2023 Annual Meeting, 6,257,397 shares of the registrant’s common stock entitled to vote at the 2023 Annual Meeting.
