Item 7.01. Regulation FD Disclosure.

Beginning with the first quarter of fiscal year 2023, Broadridge Financial Solutions, Inc. (the “Company”) will change reporting for segment revenues, segment earnings (loss) before income taxes, segment amortization of acquired intangibles and purchased intellectual property, Closed sales and Backlog to reflect the impact of actual foreign exchange rates applicable to the individual periods presented (the “Change in Foreign Exchange”).  Total consolidated revenues and earnings before income taxes will not be impacted.  Certain updated financial information as of June 30, 2022 giving effect to the Change in Foreign Exchange is furnished as Exhibit 99.2 and is incorporated by reference herein.

The information furnished pursuant to Items 7.01 and 9.01, including Exhibit 99.2, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section, and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act.
