Item 3.02. Unregistered Sales of Equity Securities

Class C Common Stock

On December 14, 2023 and January 16, 2024, Blackstone Real Estate Income Trust, Inc., a Maryland corporation (the “Company”), sold unregistered shares (the “Shares”) of the Company’s Class C common stock to a feeder vehicle primarily created to hold the Company's Class I common stock and Class C common stock, which in turn offers interests in itself to certain non-U.S. persons. The offer and sale of the Shares was exempt from the registration provisions of the Securities Act of 1933, as amended, by virtue of Section 4(a)(2) and Regulation S thereunder. The following table details the Shares sold to such feeder vehicle:

January 2024 Distributions

On January 30, 2024, the Company declared distributions for each class of its common stock in the amount per share set forth below:

The net distributions for each class of common stock (which represents the gross distributions less stockholder servicing fees for the applicable class of common stock) are payable to stockholders of record immediately following the close of business on January 31, 2024 and will be paid on or about February 20, 2024. These distributions will be paid in cash or reinvested in the applicable class of shares of the Company’s common stock for stockholders participating in the Company’s distribution reinvestment plan. Class C currently has no distribution amount presented as it is generally an accumulating share class whereby its share of income will accrete into its NAV.
