Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 20, 2026, Joe W. Laymon notified the Board of Directors (the “Board”) of Peabody Energy Corporation (the “Company”) of his decision to resign from the Board for personal health reasons, vacating his roles as a member of the Compensation Committee and Nominating and Corporate Governance Committee, effective immediately. His decision to resign was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company and the Board wish to sincerely thank Mr. Laymon for his exceptional years of service and significant contributions to the Company.
