Item8.01. Other Events.
On October 22, 2024, Cayson Acquisition Corp (the “Company”) announced that holders of the Company’s units will be able to separately trade the ordinary shares and rights included in such units commencing on or about October 24, 2024. The ordinary shares and rights will be listed on the Nasdaq Global Market (“Nasdaq”) under the symbols “CAPN” and “CAPNR,” respectively. No fractional rights will be issued upon separation of the units and only whole rights will trade. Units not separated will continue to be listed on Nasdaq under the symbol “CAPNU.” A copy of the Company’s press release announcing the foregoing is included as Exhibit 99.1 to this Current Report on Form 8-K.

CaysonAcquisition Corp Announces Separate Trading of its Ordinary Shares and Rights
NEW YORK, October 22, 2024 —(GLOBE NEWSWIRE)—Cayson Acquisition Corp (NASDAQ:CAPNU) (the “Company”) announced today that, commencing on or about October 24, 2024, holders of its units sold in the Company’s initial public offering may elect to separately trade the Company’s ordinary shares and rights included in the units. The ordinary shares and rights that are separated will trade on the Nasdaq Global Market (“Nasdaq”) under the symbols “CAPN” and “CAPNR,” respectively. No fractional rights will be issued upon separation of the units and only whole rights will trade. Those units not separated will continue to trade on Nasdaq under the symbol “CAPNU.” Holders of units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the units into ordinary shares and rights.
The Company is a Cayman exempt company, formed as a blank check company for the purpose of entering into a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization or similar business combination with one or more businesses or entities. The Company intends to focus its search for a target business on entities located throughout Asia but will not be limited to a particular industry or geographic location. The Company is led by its Chairman of the Board and Chief Executive Officer, Yawei Cao.
