Item 8.01. Other Events.

On December 28, 2021, Cactus Acquisition Corp. 1 Limited (the “Company”) issued a press release, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K, announcing that, commencing on or about December 30, 2021, the holders of the Company’s units (the “Units”) may elect to separately trade the Class A ordinary shares, par value $0.0001 per share (the “Class A ordinary shares”), and warrants included in the Units (the “Warrants”). The Class A ordinary shares and Warrants that are separated will trade on the Nasdaq Global Market under the symbols “CCTS” and “CCTSW,” respectively. Units that are not separated will continue to trade on the Nasdaq Global Market under the symbol “CCTSU”. No fractional Warrants will be issued upon separation of the Units and only whole Warrants will trade. Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the Units into Class A ordinary shares and Warrants.

NEW YORK, NY, December 28, 2021 — (GLOBE NEWSWIRE) — Cactus Acquisition Corp. 1 Limited (NasdaqGM: CCTSU) (the “Company”) announced today that, commencing December 30, 2021, holders of the units sold in the Company’s initial public offering may elect to separately trade the Class A ordinary shares and warrants included in the units.
