Item 1.02 Termination of a Material Definitive Agreement.

On October 1, 2024, CleanSpark, Inc., a Nevada corporation (the "Company"), and Coinmint, LLC mutually agreed to non-renewal of the Colocation Mining Services Agreement dated July 1, 2021, as amended on March 17, 2022, and May 25, 2023 (collectively, the "Agreement"). Under the Agreement, Coinmint, LLC provided colocation services for the Company's bitcoin mining equipment at Coinmint, LLC's facility in Massena, New York for up to 50 MW of electric power to run Company bitcoin miners. The Agreement is scheduled to expire on January 1, 2025.
