Item 2.02. Results of Operations and Financial Condition.

On October 18, 2023, Cohen & Steers, Inc. (the Company) reported, among other things, the Company’s results for the quarter ended September 30, 2023. Copies of the press release announcing the availability of the Company’s results and the full earnings release are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 17, 2023, Matthew S. Stadler provided notice to the Company of his intention to retire from his positions as Executive Vice President and Chief Financial Officer of the Company, after nearly 19 years of service to the Company and a 43 year career in the financial services industry.

Mr. Stadler provided his retirement notice in accordance with the Company’s established protocols related to long-term executive succession planning. To ensure an orderly transition of responsibilities, Mr. Stadler and the Company have mutually agreed that his retirement from such positions will be effective in 2024, upon the appointment of his successor.

COHEN & STEERS REPORTS RESULTS FOR THIRD QUARTER 2023

New York, NY, October 18, 2023—Cohen & Steers, Inc. (NYSE: CNS) today reported its results for the quarter ended September 30, 2023. •The increase in total investment advisory and administration fees from the second quarter of 2023 was primarily due to the recognition of performance fees from certain institutional accounts of $1.2 million, as well as one additional day in the quarter.

•Employee compensation and benefits increased from the second quarter of 2023, primarily due to an increase in incentive compensation of $5.4 million, partially offset by lower severance costs of $1.6 million; and

•General and administrative expenses decreased from the second quarter of 2023, primarily due to lower than projected costs related to the company’s newly implemented trading and order management system of $1.4 million as well as a reduction in recruitment fees of $375,000, partially offset by increases in business related travel and hosted conferences of $724,000.

Operating Margin

Operating margin was 33.0% for the third quarter of 2023, compared with 33.9% for the second quarter of 2023. Operating margin represents the ratio of operating income to revenue.

Assets under management at September 30, 2023 were $75.2 billion, a decrease of 6.5% from $80.4 billion at June 30, 2023. The decrease was due to net outflows of $47 million, market depreciation of $4.6 billion and distributions of $604 million.

Open-end Funds

Assets under management in open-end funds at September 30, 2023 were $33.7 billion, a decrease of 7.0% from $36.2 billion at June 30, 2023. The decrease was primarily due to the following:

•Net outflows of $207 million from preferred securities and $105 million from real assets multi-strategy (included in "Other" in the Assets under Management - By Investment Strategy table);

•Market depreciation of $1.7 billion from U.S. real estate; and

•Distributions of $132 million from preferred securities and $127 million from U.S. real estate. Of these distributions, $219 million was reinvested and included in net flows.

Institutional Accounts

Assets under management in institutional accounts at September 30, 2023 were $31.2 billion, a decrease of 6.2% from $33.3 billion at June 30, 2023. The decrease was primarily due to the following:

•Advisory:

◦Net inflows of $244 million into global/international real estate and $86 million into U.S. real estate, partially offset by net outflows of $112 million from preferred securities; and

◦Market depreciation of $444 million from global/international real estate, $412 million from U.S. real estate and $262 million from global listed infrastructure.

•Japan subadvisory:

◦Market depreciation of $549 million from U.S. real estate; and

◦Distributions of $180 million from U.S. real estate.

•Subadvisory excluding Japan:

◦Net inflows of $116 million from real assets multi-strategy (included in "Other" in the Assets under Management - By Investment Strategy table); and

◦Market depreciation of $187 million from global/international real estate, $99 million from global listed infrastructure and $95 million from U.S. real estate.

Closed-end Funds

Assets under management in closed-end funds at September 30, 2023 were $10.3 billion, a decrease of 6.0% from $10.9 billion at June 30, 2023. The decrease was primarily due to market depreciation of $506 million and distributions of $154 million.

Management believes that use of the following as adjusted (non-GAAP) financial results provides greater transparency into the company’s operating performance. In addition, these as adjusted financial results are used to prepare the company's internal management reports which are used in evaluating its business.

While management believes that these as adjusted financial results are useful in evaluating operating performance, this information should be considered as supplemental in nature and not as a substitute for the related financial information prepared in accordance with U.S. GAAP.

Effective January 1, 2023, the company revised its methodology for as adjusted results to include interest and dividends from seed investments. Prior period amounts have not been recast to conform with the current period results as the impact was not significant.
