Item 8.01 Other Events.

As previously announced, on May 4, 2020, Cohen & Company, LLC (the “Operating LLC”), a Delaware limited liability company and a subsidiary of Cohen & Company Inc., a Maryland corporation, executed a U.S. Small Business Association Note (the “PPP Note”), evidencing an unsecured loan in the amount of $2,165,600 (the “PPP Loan”) under the Paycheck Protection Program (the “PPP”) established under the Coronavirus Aid, Relief, and Economic Security Act and administered by the U.S. Small Business Administration (“SBA”). The PPP Loan was made through Fifth Third Bank, National Association (the “Lender”).

On June 21, 2021, the Company received notification from the Lender that the U.S. Small Business Administration, as administrator of the PPP, had approved the Company’s PPP Loan forgiveness application for $2,126,836.27 and all accrued interest on the PPP Loan, leaving the Company with a remaining PPP Loan balance of $38,736.73 (the “Remaining Balance”).

The Company intends to repay the Remaining Balance to the Lender in the near term, at which point the PPP Loan balance will be reduced to zero.
