Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)     On March 2, 2020, Cathy Marie Robinson notified Capri Holdings Limited (the "Company") that she is resigning from her position as Senior Vice President, Chief Operations and Transformation Officer. Her last day of employment with the Company will be March 27, 2020.

Item 8.01    Other Events.

Effective March 30, 2020, the Company is promoting Daniel Purefoy, Division Vice President, Global Operations Services, to the role of Senior Vice President, Global Operations. Mr. Purefoy will report to Thomas J. Edwards, Jr., Executive Vice President, Chief Financial Officer and Chief Operating Officer.
