Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 14, 2023, the Board of Directors (the “Board”) of Corebridge Financial, Inc. (the “Company”) elected Mia Tarpey, Head of Corporate Administration and Strategic Divestitures of American International Group, Inc. (“AIG”), as a member of the Board, effective immediately.  Ms. Tarpey serves as a member of the Board pursuant to a separation agreement between the Company and AIG pursuant to which AIG has the right to designate members of the Board, subject to maintaining specified ownership requirements.  See the Company’s definitive proxy statement for its 2023 Annual Meeting of Shareholders filed with the U.S. Securities and Exchange Commission on April 28, 2023 for information regarding the Company’s related party transactions with AIG.
