Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 10, 2022, the board of directors (the “Board”) of Digital World Acquisition Corp., a Delaware corporation (the “Company”) received a letter of resignation from Justin Shaner, resigning as a director and a member of the audit and compensation committees of the Board, effective on November 11, 2022. The resignation of Mr. Shaner did not result from any disagreement with the Company concerning any matter relating to the Company’s operations, policies or practices.
