Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 9, 2026, George Karamanos notified Digimarc Corporation (the "Company") of his decision to resign as the Company's Executive Vice President, Chief Legal Officer and Secretary, effective February 20, 2026. Mr. Karamanos will continue to serve the Company in an advisory capacity following the effective date of his resignation.
