Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Departure of Executive Vice President Eric Lisman

Emerald Holding, Inc. (the “Company”) announced today the departure of Executive Vice President Eric Lisman from the Company effective March 31, 2022.  In connection with Mr. Lisman’s anticipated departure, the Company and Mr. Lisman have entered into an agreement dated December 31, 2021 providing for terms consistent with those set forth in that certain previously filed letter agreement between the Company and Mr. Lisman dated February 1, 2017.
