Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.


On December 31, 2024, Welsbach Technology Metals Acquisition Corp., (the “Company” or “WTMA”) received a letter (the “Notice”) from the Nasdaq Listing Qualifications department of The Nasdaq Stock Market LLC (“Nasdaq”) stating that the Company no longer complies with the requirements of IM-5101-2 (the “Rule”) for continued listing on Nasdaq. Under the Rule, the Company is required to complete its initial business combination within 36 months of the effectiveness of the Company’s initial public offering registration statement, or by December 27, 2024, which the Company failed to do.

The Notice states that the Company’s securities, including its common stock, rights, and units, will be delisted from Nasdaq and will be suspended at the opening of business on January 7, 2025. A Form 25-NSE will be filed with the Securities and Exchange Commission, which will remove the Company’s securities from listing and registration on Nasdaq .

The Company is in the process of applying to list its securities on OTC Markets. It is expected that prior to or upon delisting of the Company’s securities from Nasdaq, the Company’s securities would trade on OTC Markets.
