Item 8.01 Other Events
On May 19, 2020, Edgewell Personal Care Company (the “Company”) announced that it intends to offer through a private unregistered offering unsecured, unsubordinated notes due 2028 in an aggregate principal amount of $600 million (the “Notes”). The offering is subject to market and other conditions. The Company intends to use the net proceeds from the issuance of the Notes, together with cash on hand, to redeem and satisfy and discharge all of the Company’s outstanding 4.700% Senior Notes due 2021 (“2021 Senior Notes”), and to pay fees and expenses associated therewith. This document is not and should not be construed as a notice of redemption for the 2021 Senior Notes.

Edgewell Personal Care Announces Second Quarter Fiscal 2020 Results
SHELTON, Conn., – May 19, 2020 – Edgewell Personal Care Company (NYSE: EPC) today announced that it intends to commence a private offering of $600 million aggregate principal amount of unsecured, unsubordinated notes due 2028, subject to market and other conditions.
If the offering is consummated, the Company intends to use the proceeds from the offering, together with cash on hand, to redeem the Company’s existing 4.700% Senior Notes due 2021. (the “2021 Notes”). This press release is not and should not be construed as a notice of redemption for the 2021 Notes.
The offering will be made only to persons reasonably believed to be “qualified institutional buyers” pursuant to Rule 144A under the Securities Act of 1933 (as amended, the “Securities Act”) and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. The notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold absent an effective registration statement or pursuant to an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
