EXPLANATORY NOTE

As previously disclosed, on May 20, 2022, the Registrant received a Staff determination letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Registrant of the Staff’s determination to delist the Company’s securities from the Nasdaq because the Company’s securities have had a closing bid price below $0.10 for ten consecutive trading days, which triggers a notice of delisting pursuant to Nasdaq Listing Rule 5810(c)(3)(A)(iii)(1). In addition, the Registrant also failed to satisfy the requirement that the closing bid price of its securities remain at $1.00 or higher as required by Nasdaq Listing Rule 5810(c)(3)(A) (the “Minimum Bid Price Rule”). The Registrant was provided 180 calendar days and a second period of an additional 180 calendar days to return to compliance with the Minimum Bid Price Rule.

On June 22, 2022, the Registrant received notification from the Nasdaq that the Registrant’s bid price deficiency has been cured, and that the Company is in compliance with all applicable listing standards. Accordingly, the scheduled hearing before the Nasdaq Hearings Panel has been canceled and the Company’s common shares will continue to be listed and traded on The Nasdaq Stock Market.

Farmmi Regains Compliance with NASDAQ MinimumBid Price Requirement

LISHUI, China, June 23, 2022 – Farmmi, Inc. (“Farmmi” or the “Company”) (NASDAQ: FAMI), an agricultural products supplier in China, today announced that on June 22, 2022, it received notification from The Nasdaq Stock Market LLC ("NASDAQ") confirming the Company has cured the bid price deficiency, and that the Company is in compliance with all applicable listing standards. As a result, the scheduled hearing before the Nasdaq Hearings Panel has been cancelled. The Company’s stock will continue to be listed and traded on The Nasdaq Stock Market.
