Item 8.01. Other Events.

On May 27, 2025, Golub Capital Employee Grant Program Rabbi Trust acquired 6,059,971 shares of common stock of Golub Capital BDC, Inc. for the purpose of awarding incentive compensation to employees of Golub Capital LLC and its affiliates from GC Advisors LLC, a limited liability company controlled by entities affiliated with Lawrence E. Golub and David. B.Golub. On the same day, GC Advisors LLC purchased 3,860,458, 2,183,032 and 16,481 shares of common stock of Golub Capital BDC, Inc. from GCOP, LLC, GGP Class B-P, LLC, and Golub Onshore GP, LLC, respectively, all of which are limited liability companies also controlled by entities affiliated with Lawrence E. Golub and David B. Golub. These transactions were reported on Form 4s filed with the Securities and Exchange Commission on May 29, 2025.
