Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements


On January 24, 2024, Ray Chen, Chief Financial Officer of Goldenstone Acquisition Limited (the “Registrant”) resigned his position as Chief Financial Officer with such resignation to be effective as of January 29, 2024. He will remain a member of the Board of Directors of the Registrant. Effective January 29, 2024, Eddie Ni, who currently serves as Chief Executive Officer of the Registrant and a member of the Board of Directors, was appointed to serve as Chief Financial Officer as well. Mr. Ni has served as Chief Executive Officer of the Registrant since its formation. Mr. Ni’s biography, together with a description of any related party transactions is set forth in Item 10 and Item 13, respectively, of the Registrant’s Annual Report on Form 10-K for the fiscal year ended March 31, 2023 which was filed with the Securities and Exchange Commission on July 14, 2023 and is incorporated herein by reference.
