“The fourth quarter of 2021 and start of 2022 were highly focused on executing our goal of diversifying our service offerings and revenue streams, and expanding our geographic presence,” said Terence Yap, Chairman of Guardforce AI. “We recently closed a $10.3 million private placement to further our pipeline of acquisitions and partnerships, and for investment in our technology. We continue efforts to differentiate our business through our RaaS platform, including strategic acquisitions of two leading robotic companies in China. These acquisitions are expected to contribute to our goal of scaling global operations while providing swift entry into highly evolving markets, facilitated by these companies’ experienced and established sales teams.

FinancialSummary for the Year Ended December 31, 2021

Revenue<br> was approximately $35.2 million for the year ended December 31, 2021 compared to $37.6 million<br> in the same period of 2020. This represents a decrease of approximately 6.6% or $2.5 million.<br> The decrease was primarily due to the uncontrolled resurgent outbreak of COVID-19 since April<br> 2021 in Thailand, significantly reducing the number of customer orders, partially offset<br> by an increase and stronger demand for GDM products and Robotics AI Solutions business.
GDM<br> products experienced continuous double-digit increases in the past years, increasing by 12.9%<br> in 2021 to $1.6 million, or approximately 4.7% of total revenue, as compared to 3.9% for<br> the year ended December 31, 2020.

For<br> the year ended December 31, 2021, the Company generated approximately $0.5 million in revenue<br> from cybersecurity business.

For<br> the year ended December 31, 2021, cost of revenue was $31.1 million, a decrease from $31.4<br> million from the prior year. Cost of revenue as a percentage of revenue increased from 83.3%<br> for the year ended December 31, 2020 to 88.4% for the year ended December 31, 2021. This<br> increase was mainly due to the increase in fuel consumption costs in 2021 by approximately<br> 25.7%.

NON-IFRSFINANCIAL MEASURES

To supplement our consolidated financial statements, which are prepared and presented in accordance with IFRS, we use the non-IFRS adjusted EBITDA as financial measures for our consolidated results.

We believe that adjusted EBITDA help identify underlying trends in our business that could otherwise be distorted by the effect of certain income or expenses that we include in income from operations and net income. We believe that these non-IFRS measures provide useful information about our core operating results, enhance the overall understanding of our past performance and future prospects and allow for greater visibility with respect to key metrics used by our management in its financial and operational decision-making. We present the non-IFRS financial measures in order to provide more information and greater transparency to investors about our operating results.

EBITDArepresents net income before (i) finance costs, income taxes and depreciation of fixed assets and amortization of intangible assets, which we do not believe are reflective of our core operating performance during the periods presented.

Non-IFRSadjusted net income represents net income before (i) finance costs, income taxes and depreciation of fixed assets and amortization of intangible assets, (ii) certain non-cash expenses, consisting of stock-based compensation expense, provision for withholding tax receivables and foreign exchange difference.

Non-IFRSearnings per share represents non-IFRS net income attributable to ordinary shareholders divided by the weighted average number of shares outstanding during the periods. Non-IFRS diluted earnings per share represents non-IFRS net income attributable to ordinary shareholders divided by the weighted average number of shares outstanding during the periods on a diluted basis.
