Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(a) Resignation of Director

On November 25, 2022, Claudia Gast resigned as a member of the Board of Directors (the “Board”) of ESS Tech, Inc. (the “Company”). Ms. Gast was a member of the Board’s audit committee.

Ms. Gast’s resignation as a director was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices, but was required by her new employer requesting her resignation from outside director positions of other public company boards.
