Item 5.02        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 24, 2024, Matthew A. Carey informed the Company that he will be retiring from the Company, effective December 31, 2024. Effective June 3, 2024, he will no longer serve in his current role of Executive Vice President – Customer Experience, but he will remain an Executive Vice President and serve in an advisory capacity until his retirement at the end of December. There has been no change to Mr. Carey’s compensation or other terms of employment in connection with his anticipated retirement.
