Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2020, Hideto Nishitani resigned from his position as a director of Houlihan Lokey, Inc. (the “Company”), effective as of such date. The resignation was not the result of any disagreement with the Company.
