Item 2.02 Results of Operations and Financial Condition.

On May 8, 2025, HireQuest, Inc. (the "Company") issued a press release (the "Press Release") reporting its financial results for the quarter ended March 31, 2025, a copy of which is attached hereto as Exhibit 99.1.

HireQuest Reports Financial Results for First Quarter 2025

GOOSE CREEK, South CarolinaMay 8, 2025 – HireQuest, Inc. (Nasdaq: HQI), a national franchisor of direct dispatch, executive search, and commercial staffing services, today reported financial results for the first quarter ended March 31, 2025.

First Quarter 2025 Summary

Franchise royalties decreased 11.2% to $7.0 million compared to $7.8 million in the prior year period.
Total revenue decreased 11.2% to $7.5 million compared to $8.4 million in the prior year period.

Selling, general and administrative (“SG&A”) expenses were $5.3 million, a decrease of 6.5% compared to $5.6 million in the prior year period.

Income from operations was $1.5 million, compared to income from operations of $2.1 million in the first quarter of 2024.

Net income was $1.4 million, or $0.10 per diluted share compared to net income of $1.6 million, or $0.12 per diluted share in the prior year period. Adjusted net income for the quarter was $1.8 million, or $0.13 per diluted share compared to adjusted net income of $2.0 million, or $0.15 per diluted share in the first quarter of 2024.

System-wide sales for the first quarter of 2025 decreased 11.7% to $118.4 million compared to $134.0 million for the same period in 2024.

In spite of this, we continue to achieve solid margins and profitability due to the strength and resiliency of our franchise model and our continued focus on expense management across our business. Our M&A pipeline remains strong, and we’re encouraged by opportunities that we’re seeing.

First Quarter 2025 Financial Results

Franchise royalties in the first quarter of 2025 were $7.0 million compared to $7.8 million in the prior-year period. Service revenue was $512,000 compared to $588,000 in the prior-year period.

Total revenue in the first quarter of 2025 was $7.5 million compared to $8.4 million in the prior year period, a decrease of 11.2%.

SG&A expenses in the first quarter of 2025 were $5.3 million compared to $5.6 million in the first quarter of 2024, a decrease of 6.5%. Net workers’ compensation expense for the quarter decreased to $28,000 compared to $572,000 in the prior year period.

Depreciation and amortization in the first quarter of 2025 was approximately $734,000, compared to $698,000 in the first quarter of 2024.

Interest and other financing expense in the first quarter of 2025 was approximately $144,000 compared to $243,000 for the first quarter of 2024. Interest and other financing expense will fluctuate as the Company utilizes the line of credit for acquisitions or other short-term liquidity needs.

Net income in the first quarter of 2025 was $1.4 million, or $0.10 per diluted share, compared to net income of $1.6 million, or $0.12 per diluted share, in the first quarter last year. Adjusted net income for the quarter was $1.8 million, or $0.13 per diluted share compared to adjusted net income of $2.0 million, or $0.15 per diluted share in the first quarter of 2024.

Adjusted EBITDA for the first quarter of 2025 was $2.8 million compared to $3.4 million in the first quarter of 2024.

Balance Sheet and Capital Structure

Cash was $2.1 million as of March 31, 2025, compared to $2.2 million as of December 31, 2024. Total assets were $93.7 million as of March 31, 2025, compared to $94.0 million as of December 31, 2024. Total liabilities were $28.2 million as of March 31, 2025, compared to $29.2 million as of December 31, 2024.

Working capital as of March 31, 2025, was $27.4 million compared to $25.1 million as of December 31, 2024.

As of March 31, 2025, assuming continued covenant compliance, availability under the line of credit was approximately $34.8 million based on eligible collateral, less letter of credit reserves, bank product reserves, and current advances.

On March 17, 2025, the Company paid a quarterly cash dividend of $0.06 per share of common stock to shareholders of record as of March 3, 2025. The Company intends to pay a $0.06 cash dividend on a quarterly basis, but the declaration of any dividend and the exact amount each quarter will be based on its business results and financial position and is subject to board of director discretion.
