Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 6, 2021, Stephen E. Barker, Executive Vice President, Senior Accounting and Finance Executive (Principal Accounting Officer) of Hancock Whitney Corporation (the “Company”) announced his retirement from the Company, effective February 2, 2022. On December 7, 2021 the Company’s board of directors designated Michael M. Achary, Senior Executive Vice President and Chief Financial Officer of the Company, as the Company’s Principal Accounting Officer effective on the date of Mr. Barker’s retirement.
