Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain

Officers; Compensatory Arrangements of Certain Officers.

On February 19, 2020, the Board of Directors (the “Board”) of Hyster-Yale Materials Handling, Inc. (the “Company”) increased the size of the Board from ten to eleven members and elected David B. H. Williams as Director of the Company. Mr. Williams will serve for an initial term ending at the Company's Annual Meeting of Stockholders in May 2020. The Board appointed Mr. Williams to serve as a member of the Finance Committee.

Mr. Williams currently serves as President of the law firm Williams, Bax & Saltzman, P.C. Mr. Williams is a lawyer with more than 25 years of experience providing legal counsel to businesses in connection with litigation and commercial matters. Mr. Williams' substantial experience as a litigator and commercial advisor enables him to provide valuable insight on business and legal issues pertinent to the Company. Mr. Williams does not currently serve on any other corporate boards.

Mr. Williams is not a party to any transaction described in Item 404(a) of Regulation S-K involving the Company or any of its subsidiaries. Mr. Williams is eligible to participate in the non-employee director compensation arrangements described in the Company's Proxy Statement for its 2019 Annual Meeting of Stockholders, which the Company filed with the Securities and Exchange Commission on March 26, 2019.
