EXPLANATORY NOTE

As previously disclosed, on July 11, 2025, InflaRx N.V. (the “Company”) was notified by the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) that the closing bid price per share for the Company’s ordinary shares was below $1.00 for a period of thirty (30) consecutive business days and that the Company was not in compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5450(a)(1) (the “Minimum Bid Price Requirement”).

Pursuant to Nasdaq Listing Rule 5810(c)(3)(A), the Company had been provided with an initial compliance period of 180 calendar days, or until January 7, 2026, to regain compliance with the Minimum Bid Price Requirement.

On September 11, 2025, Nasdaq provided confirmation to the Company that for 10 consecutive business days, from August 27, 2025 to September 10, 2025, the closing bid price of the Company’s ordinary shares has been at $1.00 per share or greater. Accordingly, the Company has regained compliance with Nasdaq Listing Rule 5450(a)(1) and the matter is now closed.

This report on Form 6-K (the “Report”) shall be deemed to be incorporated by reference into (i) the registration statements on Form S-8 (File No. 333-221656 and 333-240185) and (ii) the registration statement on Form F-3 (File No. 333-273058) of the Company and to be a part thereof from the date on which this Report is submitted, to the extent not superseded by documents or reports subsequently filed or furnished.

InflaRx Regains Compliance with Nasdaq Minimum Bid Price Requirement

Jena, Germany, September 12, 2025 – InflaRx N.V. (Nasdaq: IFRX), a biopharmaceutical company pioneering anti-inflammatory therapeutics by targeting the complement system (the “Company”), today announced that it has received a written notice (the “Notice”), dated September 11, 2025, from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) informing the Company that it has regained compliance with Nasdaq’s minimum bid price requirement set forth under Nasdaq Listing Rule 5450(a)(1) (the “Minimum Bid Price Requirement”).

According to the Notice, the Company regained compliance with the Minimum Bid Price Requirement because the closing bid price of the Company’s ordinary shares has been $1.00 per share or greater for 10 consecutive business days, from August 27, 2025 to September 10, 2025, and the matter is now closed.
