Item 5.07 Submission of Matters to a Vote of Security Holders.

On November 13, 2024, Paltalk, Inc. (the “Company”) held its 2024 annual meeting of stockholders (the “Annual Meeting”). The voting results on the matters submitted to the Company’s stockholders at the Annual Meeting are as follows:

Proposal 1: Election of (i) Yoram (Rami) Abada, (ii) Jason Katz, (iii) Kara Jenny, (iv) Lance Laifer and (v) John Silberstein to the Company’s Board of Directors, each to serve for a one-year term until the annual meeting of stockholders to be held in 2025.
